Soul Pattinson lifts stake in G8 Education, increases voting power to 7.85 per cent
Washington H. Soul Pattinson and Company Limited (Soul Patts) has significantly increased its interest in G8 Education Limited (ASX: GEM).
A substantial shareholder notice, filed under the Corporations Act 2001, has revealed that Soul Patts and its subsidiaries increased their voting power in G8 Education to 7.85 per cent. The updated Form 604, titled Notice of change of interests of substantial holder, was lodged on 15 December 2025.
The filing updates a previous notice issued on 30 October 2025, which showed Soul Patts held 50,353,130 ordinary shares, equating to 6.53 per cent of voting power. As of 11 December 2025, the group’s shareholding rose to 60,564,847 ordinary shares, marking an increase of 1.32 percentage points based on the 771,558,755 GEM shares on issue.
The expanded position results from a series of share purchases executed between 4 November and 11 December 2025. Notable transactions included:
- 1,750,000 shares acquired on 5 November 2025
- A significant purchase of 3,990,957 shares on 11 December 2025 at $0.6991 per share, totalling $2,790,078.04
These acquisitions are detailed in Annexure A of the filing. The relevant interests are held by Soul Patts, Soul Patts Holdings Pty Limited, and WHSP Holdings Pty Limited. WHSP Holdings Pty Limited is identified as both the registered holder and the entity entitled to be registered as the holder, in line with sections 608(1)(a) and 608(1)(b) of the Corporations Act 2001 (Cth).
