Advertising terms and conditions

GENERAL
  1. These Terms must be read together with the Order Details above and apply to all advertising provided by Sector Publishing Pty Ltd ABN 65 625 595 986 (“Sector Publishing”) to the advertiser referred to in the Order Details (“Customer”). Customer includes an advertiser on whose behalf advertising is placed and any media company or agency that arranges the advertising for its clients. By signing the Order Details form (whether signed in hardcopy or electronically) , submitting any artwork or payment for any advertising services supplied by Sector Publishing under these Terms (“Advertising”), the Customer shall be deemed to have accepted these Terms and to have agreed that they shall apply to the exclusion of all others.
  2. Any variation to these Terms or to the Order Details (whether verbal or written) is not considered binding unless agreed in writing by Sector Publishing.
  3. In these Terms,
“Insolvency Event” means where:
  1. the Customer is a natural person and commits an act of bankruptcy; or
  2. the Customer is a body corporate and cannot pay its debts as and when they fall due or enters an arrangement with its creditors other than in the ordinary course of business or passes a resolution for administration, winding up or liquidation (other than for the purposes of reorganisation or reconstruction); or has a receiver, manager, liquidator or administrator appointed to any of its property or assets or has a petition presented for its winding up;
“Order Date” means the order date shown on the Order Details; “Order Details” means the details listed on page 1 of this document; “Payment Deadline” means any deadline for payment shown in the Order Details or as otherwise agreed in writing between the Customer and Sector Publishing; “Submission Deadline” means the submission deadline specified in the Order Details, or if no date is specified then within such other deadline advised by Sector Publishing at its discretion before publication date; “Total Cost” means the Total Cost shown in the Order Details.
 
PAYMENT TERMS
  1. Payment is due on or prior to fourteen (14) calendar days from the date of invoice unless otherwise stated in writing by Sector Publishing. Sector Publishing may charge interest in accordance with clause 10(j) on any outstanding amounts if payment is not received by the due date. Further discount may apply if advertising is prepaid, and the amounts of such discounts are listed on the Order Details or otherwise as advised by Sector Publishing from time to time.
  2. The Customer must pay GST at the time it pays for Advertising. Sector Publishing will provide a tax invoice or adjustment note (as applicable).
  3. In the event that payment for Advertising placed via an agent is late, Sector Publishing reserves its right to withhold any agency commissions that may otherwise be payable.
  4. Sector Publishing may grant, deny or withdraw credit to a Customer at any time in its discretion. Sector Publishing’s express or implied approval for extending credit to the Customer may be revoked or withdrawn by Sector Publishing at any time.
  5. Sector Publishing is entitled to set-off against any money owing to the Customer against amounts owed to Sector Publishing by the Customer on any account whatsoever.
  6. Any payments received from the Customer on overdue accounts will be applied first to satisfy interest which may have accrued, second to reasonable expenses incurred by Sector Publishing in recovering any debt, and then towards any unpaid Advertising.
  7. The Customer is liable for all reasonable expenses (including contingent expenses such as debt collection commission and legal costs) incurred by Sector Publishing for recovery of monies due from the Customer to Sector Publishing.
QUOTATIONS AND PRICING
  1. Prices charged for Advertising will be according to a current quotation. Otherwise, they will be determined by Sector Publishing by reference to its standard prices in effect at the Order Date (whether notified to the Customer or not and regardless of any prices contained in the Order Details). Sector Publishing will use its best endeavours to notify the Customer of price changes but bears no liability in respect of fluctuations in price due to factors outside of its control.
  2. A quotation by Sector Publishing does not constitute an offer. Quotations will remain valid for fourteen days from the date of the quotation.
  3. These terms and conditions or any associated quotation, acceptance of quotation, purchase order or other document which requires a signature may be signed in electronic form. Each person that signs on behalf of a Customer (whether their signature is electronic or otherwise) or that books or places Advertising with Sector Publishing warrants that they have the authority to bind the Customer (including any advertising agency) in accordance with these terms and conditions.
  4. All payments are to be made in Australian dollars unless otherwise agreed in writing. If an account is paid in currency other than Australian dollars, Sector Publishing reserves the right to charge a 5% surcharge to cover administration and currency conversion costs.
PROVISIONS RELATING TO ADVERTISING
  1. Neither these Terms nor any written or verbal quotation by Sector Publishing represents an obligation on Sector Publishing to publish advertising. Sector Publishing is not obligated to publish any Advertising unless it has accepted the Advertising in writing or generates a tax invoice for that Advertising. Sector Publishing reserves the right in its absolute discretion to refuse any request for advertising and may make acceptance of any request conditional upon receiving a satisfactory credit assessment of the Customer, or upon receiving pre-payment.
  2. In the event that Sector Publishing does not receive artwork or copy by the Submission Deadline, Sector Publishing reserves the right to repeat a previous advertisement of the same or smaller size, or not to publish any of the Advertising at all, and the Customer will remain liable for any outstanding monies.
  3. Sector Publishing will use reasonable efforts to publish advertising in the format and in the position requested by the Customer. However, Sector Publishing reserves the right to vary the placement of Advertising within a website or to change the format of Advertising. Customer must pay the full price for Advertising even if Sector Publishing varies the format or placement of the Advertising.
  4. Except in accordance with clause 8, Sector Publishing will not be liable for any loss or damage incurred by a Customer arising from Sector Publishing’s failure to publish Advertising in the format and position requested by the Customer.
  5. If Sector Publishing changes the configuration for a website, Sector Publishing reserves the right to shrink or enlarge the Advertising by up to 10% without notice to Customer or any change to rates.
  6. The Customer warrants to Sector Publishing that it is authorised and holds all necessary consents to publish the entire contents and subject matter of the Advertising, and that the publication of the Advertising does not breach or infringe:

Other items

  1. the Competition and Consumer Act (Cth) or equivalent State legislation;
  2. any copyright, trade mark, obligation of confidentiality or other personal or proprietary right;
  3. any law of defamation, obscenity or contempt of any court, tribunal or royal commission;
  4. State or Commonwealth privacy legislation or anti-discrimination legislation;
  5. any financial services law as defined in the Corporations Act 2001 (Cth); or
  6. any other law or applicable code (including any common law, statute, delegated legislation, rule or ordinance of the Commonwealth, or a State or Territory).
  7. The Customer warrants that if the Advertising contains the name or photographic or pictorial representation of any living person and/or any copy by which any living person can be identified, the Customer has obtained the authority of that person to make use of his/her name or representation or the copy.
  8. The Customer grants Sector Publishing a worldwide, royalty-free, non-exclusive, irrevocable licence to publish, and to sub-licence the publication of, the advertising in any form or medium, including print, online or other. The Customer warrants that it is authorised to grant Sector Publishing the licence in this clause 4.8.
  9. The Customer must not resell Advertising space to any third party without Sector Publishing’s consent.
  10. If the Advertising promotes a competition or trade promotion, Customer warrants it has obtained all relevant permits and indemnifies Sector Publishing against any loss in connection with the Advertising.
  11. Sector Publishing reserves the right to refuse or withdraw from publication any advertising at any time that, in the opinion of Sector Publishing, is illegal, defamatory, offensive, obscene and/or contrary to the business interest, goodwill and/or reputation of Sector Publishing or any of its readers or is likely to infringe on the rights of third parties (even if the advertising has previously been published by Sector Publishing).
CANCELLATIONS
  1. No cancellations or partial cancellation of an order by the Customer shall be accepted by Sector Publishing unless it has first consented in writing to such cancellation or partial cancellation.
  2. To the extent the Customer cancels or postpones Advertising for which Sector Publishing has already incurred third party costs which cannot be reimbursed (eg production or supplier costs), the Customer will be required to pay this amount to Sector Publishing regardless of whether the Advertising is postponed or cancelled. Sector Publishing reserves the right to charge the Customer a cancellation fee based on this amount and may refuse to cancel an order unless the cancellation fee has been paid.
  3. The Customer acknowledges that multiple month packages may be discounted or offer favourable positioning and as such, if a multiple month package is cancelled after commencement of the package then Sector Publishing reserves the right to charge the Customer an additional amount to be applied towards any previously given discount.
  4. The Customer must promptly check proofs of Advertising (if provided to the Customer by Sector Publishing) and notify Sector Publishing of any errors in the proofs or in published Advertising within seven (7) business days of the date of the invoice rendered for the supply of Advertising or the publication date, whichever is first.
  5. Customer must send any claim for credit or republication in writing to Sector Publishing no later than 7 days after the date of publication of the Advertising. Otherwise, the Customer shall be deemed to have accepted the Advertising and will be liable for the Total Cost.
PRIVACY
  1. Sector Publishing collects a Customer’s personal information to provide the Advertising to the Customer and for invoicing purposes. Sector Publishing may disclose this personal information to its related bodies corporate, to credit reporting agencies and other third parties as part of provision of the Advertising and for overdue accounts, to debt collection agencies to recover amounts owing.
  2. Sector Publishing provides some published Advertising to third party service providers. Where such Advertising contains personal information, Customer consents to the disclosure of their personal information in the advertising to third parties and to the personal information being republished by a third party.
  3. Customers may gain access to their personal information by contacting Sector Publishing on the details located at https://thesector.com.au/contact/. Sector Publishing’s privacy policy is at https://thesector.com.au/privacy-policy/.
NOTIFICATION The Customer must notify Sector Publishing in writing within seven (7) days of:
  1. Any alteration of the name or ownership of the Customer (including a change in more than 50% shareholding of the Customer, if the Customer is a company). The Customer agrees that it remains liable to Sector Publishing for all Advertising supplied to the new owner by Sector Publishing until notice of any such change is received.
  2. any Insolvency Event suffered by the Customer.
LIABILITY
  1. Each of the parties excludes all implied conditions and warranties from these terms, except any condition or warranty which cannot by law be excluded (such as conditions and warranties implied by the Competition and Consumer Act 2010 and equivalent State acts) (“Non-excludable Condition“).
  2. Where it is lawful to do so, the liability of Sector Publishing for a breach of these Terms or a warranty is limited to, in the case of Sector Publishing, the re-supply of the Advertising if reasonably possible or payment of the cost of re-supply to Customer and in the case of Customer, the Total Cost for the Advertising.
  3. Subject to clause 8.1, neither party will, in any circumstances, be liable to the other for any indirect or consequential losses, loss of profits, loss of revenue or loss of business opportunity.
  4. Sector Publishing will not be liable for any loss or damage occasioned by the failure of any advertisement to appear because of circumstances outside of its control, including but not limited to system interruption, telecommunications failure, unavailability of web servers or incompatibility with individual web browsers. Sector Publishing does not accept any liability for errors submitted by the Customer or its agent.
  5. Subject to clause 8.2, the Customer indemnifies Sector Publishing and its officers, employees, contractors and agents (the “Indemnified“) against any costs, expenses, losses, damages and liability suffered or incurred by the Indemnified arising from the Customer’s breach of these Terms and any negligent or unlawful act or omission of the Customer in connection with the Advertising.
FORCE MAJEURE
Sector Publishing will not be liable for any delay or failure to publish Advertising because of a factor outside of its reasonable control (including but not limited to national emergency, war, prohibitive governmental regulation, breakdown of plant, electricity failure or industrial dispute). If one of these events renders provision of the Advertising impossible then unless prohibited by law, Sector Publishing may elect to terminate these Terms.
FAILURE TO PAY AND OTHER BREACHES
If the Customer breaches these Terms, fails to pay for Advertising or suffers an Insolvency Event, Sector Publishing may (in its discretion and without limitation):
  1. cancel any provision of credit to the Customer;
  2. require cash pre-payment for further Advertising;
  3. charge interest on all overdue amounts at the rate 10% per annum apportioned in respect of the period starting on the due date for payment and ending on the date the outstanding amount is actually paid;
  4. take proceedings against the Customer for any outstanding amounts;
  5. recover Sector Publishing’s costs including mercantile agency and legal costs on a full indemnity basis;
  6. cease publication of further Advertising or suspend an agreement for Advertising not yet published until the breach is remedied and if it is not remedied within 10 Business Days, Sector Publishing may terminate an agreement for Advertising not published;
  7. exercise any other rights at law.
FAILURE TO ACT
Sector Publishing’s failure to enforce or insist upon the timely performance of any term, condition, covenant or provision in these Terms, or Sector Publishing’s failure to exercise any right or remedy available under these Terms or at law, or Sector Publishing’s failure to insist upon timely payment of monies when due or to demand payment of any charges or fees which accrue or any extension of creditor forbearance under these Terms, does not constitute a waiver of any subsequent default or a waiver of Sector Publishing’s right to demand timely payment of future obligations or strict compliance with the Terms.
LEGAL CONSTRUCTION
  1. These Terms are governed by the laws of the State in which the Customer resides (if the Customer is an individual) or in which the Customer is located (if the Customer is a company) and each party submits to the non-exclusive jurisdiction of that State.
  2. Notwithstanding that any provision of the Terms may prove to be illegal or unenforceable pursuant to any statute or rule of law or for any other reason that provision is deemed omitted without affecting the legality of the remaining provisions and the remaining provisions of the Terms shall continue in full force and effect.
