Embark Early Education shareholders back all resolutions at 2026 AGM

Embark Early Education Limited has received strong shareholder support across all resolutions presented at its 2026 Annual General Meeting, held on Monday 11 May 2026.
The ASX-listed early childhood education and care provider released its results of meeting report, prepared by MUFG Corporate Markets, confirming that all six resolutions were carried.
The outcomes indicate broad shareholder support for the company’s governance settings, board composition and capital management approach.
Shareholders voted overwhelmingly in favour of adopting Embark’s remuneration report, with 99.17 per cent of votes cast supporting the resolution.
The result means the company did not receive a remuneration “strike”, which occurs when 25 per cent or more of eligible votes are cast against the remuneration report.
Shareholders also approved the re-election of Renita Garard as a director of the company.
The resolution passed with 99.79 per cent of votes cast in favour, signalling strong support for board continuity.
The resolution was carried with 91.13 per cent support. While this was the most contested item on the agenda, it still received a clear majority.
The approval provides the company with additional flexibility to issue shares, if required, to support future capital management, growth or strategic opportunities.
Both resolutions were carried with strong support, with the relevant poll results showing more than 98 per cent of votes cast in favour.
Takeover protections renewed
The final resolution related to the renewal of proportional takeover provisions in the company’s constitution.
This resolution was also carried, with 99.74 per cent of votes cast in favour.
Proportional takeover provisions are designed to provide shareholders with additional protections if a party seeks to acquire only a proportion of shares in the company.
What the results signal
The AGM results point to a high level of shareholder confidence in Embark’s leadership, governance and strategic direction.
With all resolutions carried, no remuneration strike recorded and capital flexibility retained, Embark enters the next stage of the financial year with a clear mandate from shareholders.
The outcomes also come at a time when listed ECEC providers continue to operate in a changing environment shaped by workforce pressures, regulatory reform, affordability discussions and ongoing investor focus on sector performance.
