Edge Early Learning seeks rent relief as corporate restructure progresses

Edge Early Learning has sought rent relief from one of its major landlords as the early childhood education and care provider pursues a corporate restructure, with Arena REIT issuing notices of default after an August rent payment was not received.
Edge Early Learning has requested a deferral or reduction in rent from ASX-listed property group Arena REIT as it pursues a corporate restructure of its business.
In an ASX announcement released on 10 August 2026, Arena said Edge currently leases 31 Arena-owned early childhood education and care (ECEC) properties across Queensland and South Australia.
The leases are significant to Arena, with rental income from Edge representing approximately 14 per cent of its annual rental income.
Arena confirmed that Edge had paid all rent due up to 31 July 2026.
However, Edge approached Arena in late July seeking either a deferral or abatement of rent while pursuing what Arena described as a “corporate restructure of its business”.
Arena said it did not receive rent due from Edge on 3 August and issued notices of default under the relevant lease agreements the following day.
Edge and its lender have up to 21 days from the notices being issued to remedy the default.
Arena has been engaging with Edge about the request and has appointed advisory and restructuring firm McGrathNicol to assist with the matter.
After considering Edge’s request, Arena determined that it would not agree to a rent deferral or abatement.
“Arena continues to engage in discussions with Edge regarding its lease obligations and potential pathways forward,” the property group said.
Arena also holds a pooled bank guarantee and security deposits totalling approximately $4 million from Edge to secure its lease obligations.
The guarantee includes cross-default provisions applying across the properties leased from Arena.
Arena said it was assessing a range of options available to it as a landlord to protect rental income, preserve asset value and maximise long-term outcomes for securityholders.
Arena’s announcement does not indicate that any Edge leases have been terminated or that services operating from the 31 Arena-owned properties will close.
It also provides no further detail about the nature of Edge’s corporate restructure or whether the restructure will have implications for the provider’s broader operations, workforce, children or families.
The announcement confirms only that Edge sought rent relief as it pursues the restructure, that Arena rejected the request and that the rent payment due on 3 August had not been received when Arena issued its default notices.
The developments have prompted Arena to delay the release of its FY2026 financial results, which had been scheduled for 12 August.
Arena said it considered the delay prudent to allow it to finalise its FY2026 Financial Report, including an independent review of the valuation of properties tenanted by Edge.
The results are now expected to be released in the week beginning 17 August.
Arena said its FY2026 distributable income and distributions were not affected by the developments involving Edge.
The property group paid a June quarter distribution of 4.8125 cents per security on 6 August, taking its annual FY2026 distribution to 19.25 cents per security, a 5.5 per cent increase on FY2025.
Arena also provided an update on occupancy across its stabilised portfolio.
Its tenants reported rolling 12-month average centre-level occupancy of 76.7 per cent at 31 March 2026, compared with 79.3 per cent at 31 March 2025 and a five-year average of 78.7 per cent.
Arena’s net rent to gross revenue, which the property group describes as a key measure of tenant rental affordability, remained stable at 10 per cent for the period to 31 March 2026.
Arena said it would provide a further update when appropriate.
The immediate focus now turns to the discussions between Edge, Arena and Edge’s lender, including whether the lease default is remedied within the specified period and what Edge’s broader corporate restructure will involve.
